Terms of Service

These Terms of Service ("Terms") govern your access to and use of DidThis ("DidThis," "we," "us," or "our"), including our websites, applications, and related services (collectively, the "Service"). By accessing or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes both you and the organization.
1. The Service
DidThis provides collaboration tools for teams, including asynchronous check-ins, progress tracking, notifications, and optional features such as team maps that may rely on location signals when you choose to enable them. We may update, modify, or discontinue parts of the Service from time to time, including to address security, legal, or product requirements.
2. Accounts and Access
- You must provide accurate information and keep your account credentials secure. You are responsible for activity that occurs under your account unless you promptly notify us of unauthorized use.
- Organizations that use DidThis may designate administrators who can invite members, configure workspace settings, and manage billing. Those administrators' actions may affect your account and your ability to access the Service.
- We may suspend or restrict access if we reasonably believe there is fraud, abuse, a security risk, or a violation of these Terms or applicable law.
3. Acceptable Use
You agree not to:
- Use the Service for unlawful, harmful, harassing, discriminatory, or fraudulent acts.
- Attempt to probe, scan, interfere with, or disrupt the integrity or performance of the Service or any third-party systems used to operate it.
- Reverse engineer, decompile, or attempt to extract source code from the Service except to the extent such restrictions are prohibited by applicable law.
- Upload malware, exploit vulnerabilities, or misuse automation in a way that degrades the Service for others.
- Misrepresent your identity, impersonate others, or collect personal information from users without appropriate notice and consent where required.
4. User Content
You retain ownership of content you submit to the Service ("User Content"). You grant DidThis a worldwide, non-exclusive license to host, reproduce, process, transmit, display, and otherwise use User Content solely as needed to provide, secure, improve, and support the Service, including to generate team insights you have permission to view.
You represent that you have all rights necessary to submit User Content and that it does not violate applicable law or third-party rights. We may remove or restrict User Content where required by law or if it violates these Terms, but we are not obligated to monitor all User Content.
5. Optional Live Location
Certain features may allow you to share device location signals with your workspace. Live location is optional and controlled by your profile setting and your browser's permission prompts. When enabled, the Service may collect latitude, longitude, accuracy metadata, and timestamps on a recurring schedule (not as a continuous high-frequency stream), and may derive a human-readable address label using Mapbox when a Mapbox token is configured. Managers on your team may view live locations on the team map subject to product permissions.
- Location signals can be imprecise or incorrect depending on device hardware, environment, VPNs, browser settings, or third-party mapping services.
- If you turn off live location sharing, DidThis stops ongoing collection for that purpose and removes your stored live location record for the current team as implemented in the product at that time.
- DidThis may show an in-product prompt to eligible team members when sharing is off. Choosing Not now typically snoozes that prompt for about eight hours on the device. Dismissing the prompt does not enable sharing; you can always change your preference in Profile settings.
- A separate control may limit whether city or country appears to teammates in certain roster views; that control does not replace turning off live location sharing if you do not want coordinates processed for the map.
6. Third-Party Services
The Service relies on third-party infrastructure and integrations, which may include authentication providers (such as WorkOS), hosting and database providers (such as Convex and Cloudflare), mapping/geocoding providers (such as Mapbox when enabled), analytics, and payment processors when you purchase paid plans. Your use of those services may also be subject to their terms and policies.
7. Billing and Subscriptions
Paid plans, if offered, are billed according to the plan you select at checkout. You authorize DidThis and its payment processors to charge applicable fees, taxes, and prorated adjustments. Unless required by law or stated otherwise at purchase, fees are non-refundable once services are delivered or the stated refund window has passed.
If an organization pays for seats, administrators may add or remove members, which can change billing. You are responsible for keeping payment methods current.
8. Confidentiality and Privacy
Our collection and use of personal information is described in the Privacy Policy. If you access the Service under an organization, the organization may have additional policies that apply to you.
9. Suspension and Termination
You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms, if we must comply with law, or to protect the security or integrity of the Service. Upon termination, provisions that by their nature should survive will survive, including intellectual property, disclaimers, limitations of liability, and dispute terms.
10. Intellectual Property
DidThis and its licensors own all rights, title, and interest in and to the Service, including software, branding, documentation, and aggregated or de-identified analytics that do not identify you. Except for the limited rights expressly granted, no rights are transferred to you.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIDTHIS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT LOCATION DATA WILL BE ACCURATE OR COMPLETE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIDTHIS AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIDTHIS' TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID DIDTHIS FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS (US $100) IF YOU HAVE NOT HAD ANY PAYMENT OBLIGATIONS.
Some jurisdictions do not allow certain limitations. In those cases, the limitations apply to the fullest extent permitted by law.
13. Indemnity
To the maximum extent permitted by law, you will indemnify and hold harmless DidThis and its affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of your User Content, your misuse of the Service, or your violation of these Terms or applicable law.
14. Governing Law and Disputes
These Terms are governed by the laws of the United States and the State of Delaware, excluding conflict-of-law rules. Courts in Delaware may have jurisdiction, subject to mandatory consumer protections in your place of residence where applicable. Nothing in these Terms limits rights you may have under local law that cannot be waived by contract.
15. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date and may provide additional notice where appropriate. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service.
